Governance structure

Members

Members participate according to their category and the governing documents. Reserved rights may include electing directors or acting on specified organizational matters. Members also contribute through committees, working groups, consultations, and annual reaffirmation.

Board of Directors

The Board is responsible for fiduciary oversight, strategy, budget, material policy, executive accountability, and the integrity of ASA’s programs. Board-reserved decisions include adoption of binding membership requirements, material association positions, standards, and major programs unless the governing documents provide otherwise.

Officers and executive leadership

Officers and executive leadership carry out adopted direction, maintain operations, and ensure that decisions reach the correct review and approval route. Delegations should state scope, limits, reporting, and escalation requirements.

Committees and task forces

Standing committees develop recommendations within charters. Task forces address a defined issue and end when their work is complete. Neither may speak for ASA or create obligations without authority.

Advisory and independent review bodies

Scientific, legal, technical, or program advisors may provide specialist review. Advisory service does not transfer governing authority. Where a decision requires separation—such as an award review—ASA uses conflict-screened reviewers and a documented decision process.

How an ASA position is developed

  1. Issue definition: The responsible function states the decision, audience, scope, timeline, and applicable authority.
  2. Source review: Primary legal, regulatory, scientific, market, and operational sources are collected and verified.
  3. Member and expert input: Relevant perspectives are requested through the appropriate committee, task force, or consultation.
  4. Conflict and competition safeguards: Participants disclose interests and avoid competitively sensitive discussion.
  5. Draft and cross-functional review: Regulatory, scientific, quality, legal, communications, and operational implications are considered as needed.
  6. Approval: The body holding the required authority adopts, revises, defers, or declines the proposal.
  7. Publication and maintenance: The record receives a date, version, owner, sources, status, and review trigger.
